1. Acceptance of Terms

By accessing or using Aftermath Analytics ("Service," "Platform," "we," "us"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. No Investment Advice

2.1 Educational Purpose Only

The Service provides software tools, data visualization, backtesting capabilities, and historical analysis for educational purposes. We do NOT:

• Provide personalized investment advice
• Recommend specific securities or trading strategies for your individual situation
• Act as a financial advisor, broker, or registered investment advisor
• Manage your investments or execute trades on your behalf
• Guarantee any trading outcomes or future performance

2.2 Your Responsibility

You are solely responsible for:

• Evaluating your own financial situation
• Determining the suitability of any investment strategy
• Making your own independent investment decisions
• Consulting with licensed financial professionals before trading
• Understanding the risks associated with trading and investing

3. Risk Disclosure

3.1 Trading Risks

WARNING: Trading securities, options, futures, forex, and other financial instruments carries a HIGH DEGREE OF RISK and may not be suitable for all investors. You should carefully consider your financial condition before trading.

Potential losses include but are not limited to:

• Total loss of capital: You can lose 100% of your investment
• Losses exceeding deposits: Some instruments (options, futures, margin) can result in losses greater than your initial investment
• Market volatility: Rapid price movements can cause substantial gains or losses
• Liquidity risk: You may be unable to exit positions at desired prices
• Counterparty risk: Broker or exchange failures can result in loss

3.2 Past Performance Disclaimer

PAST PERFORMANCE IS NOT INDICATIVE OF FUTURE RESULTS.

• Backtested results are hypothetical and do not represent actual trading
• Historical data may not reflect real-world trading conditions (slippage, commissions, market impact)
• Simulated results do not guarantee you will achieve similar returns
• Market conditions change, and historical patterns may not repeat

3.3 No Guaranteed Returns

We make NO REPRESENTATIONS OR WARRANTIES regarding:

• Profitability of any strategy or signal
• Accuracy of predictions, forecasts, or expected moves
• Performance of AI-generated recommendations
• Success rates advertised or displayed in examples

4. Data Accuracy & Service Availability

4.1 Data Disclaimer

We strive for accuracy but DO NOT GUARANTEE:

• Real-time accuracy of market data
• Completeness or correctness of historical data
• Absence of errors, bugs, or technical issues
• Uninterrupted service availability

You acknowledge that:

• Data may be delayed, inaccurate, or incomplete
• Technical errors may occur without notice
• Service downtime may happen at any time
• We are not liable for losses due to data errors or service interruptions

4.2 Third-Party Data

We use third-party data providers (including but not limited to TradingView, Alpha Vantage, FRED, yfinance). We are not responsible for:

• Accuracy of third-party data
• Third-party service outages
• Changes to third-party data availability

5. Limitation of Liability

5.1 Maximum Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We are NOT LIABLE for any trading losses, investment losses, or financial damages
• Our total liability shall not exceed the amount you paid for the Service in the past 12 months
• We are not liable for indirect, incidental, consequential, or punitive damages
• We are not liable for lost profits, data loss, or business interruption

5.2 No Liability for Trading Decisions

You acknowledge that we are not responsible for:

• Any trades you execute based on information from the Service
• Losses resulting from following signals, recommendations, or strategies
• Errors in your interpretation of data or analytics
• Failure to understand risks before trading

6. User Responsibilities

6.1 Acceptable Use

You agree to NOT:

• Reverse engineer, decompile, or extract proprietary algorithms
• Resell, redistribute, or share your account access
• Use the Service for illegal activities or market manipulation
• Scrape or systematically download data without permission
• Interfere with Service security or functionality
• Use Service outputs for commercial purposes without a Commercial API License (see Section 9)
• Access the Service via automated scripts, bots, or programmatic tools without a Commercial API License

6.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of unauthorized access

7. Subscription & Payment Terms

7.1 Billing

• Basic Plan: $29/month, billed monthly
• Pro Plan: $49/month, billed monthly
• Quant Plan: $79/month, billed monthly
• All fees are in USD and non-refundable unless otherwise stated
• We reserve the right to change pricing with 30 days' notice
• Early adopter pricing locked for first 750 members (as long as subscription remains active)

7.2 Cancellation & Refunds

• You may cancel your subscription at any time
• Cancellations take effect at the end of the current billing period
• No refunds for partial months or unused subscription time
• Access to paid features terminates upon cancellation
• Refund requests within the first 7 days are evaluated on a case-by-case basis depending on platform usage (credits consumed, trades logged, data accessed, etc.)
• If no meaningful usage has occurred within the first 7 days, refunds may be granted at our discretion
• If significant platform usage has occurred, refunds will not be issued
• After 7 days, all fees are non-refundable except where required by law
• Chargebacks filed after significant platform usage may result in account termination
• We reserve the right to review usage data when processing any refund request

7.3 Free Trial

3-DAY FREE TRIAL for new users:

• Access to full platform features during trial period
• A valid credit card is required to start the trial (processed securely via Stripe)
• Cancel anytime during the trial period with no charges
• Subscription begins automatically and your card is charged after the 3-day trial unless canceled
• Trial usage (backtests run, credits consumed, trades logged) is tracked and recorded

7.4 Usage Tracking & Rate Limits

• We track and log all platform usage including but not limited to: backtests run, API requests, credits consumed, trades logged, features accessed, and session activity
• Usage data is retained for billing verification, refund evaluation, fraud prevention, and service improvement
• All plans are subject to rate limits to ensure fair usage and platform stability
• Exceeding rate limits will result in temporary throttling (HTTP 429 responses) until the limit window resets
• Attempts to circumvent rate limits, abuse API access, or scrape data may result in immediate account suspension

7.5 Chargebacks & Fraud

• Filing a chargeback or payment dispute after consuming platform credits, running backtests, logging trades, or otherwise using paid features constitutes a violation of these Terms
• We retain detailed usage logs and will provide them as evidence in any chargeback dispute
• Accounts associated with chargebacks filed in bad faith will be permanently terminated and may be reported to fraud prevention services
• If you have a billing issue, contact us at legal@aftermathanalytics.com before filing a dispute with your bank — we will work with you to resolve it
• We reserve the right to pursue recovery of losses caused by fraudulent chargebacks, including collection costs and legal fees

8. AI-Generated Content Disclaimer

Certain features of the Service use artificial intelligence and machine learning models to generate analysis, signals, trade ideas, and recommendations. You acknowledge that:

• AI-generated output is not investment advice and should never be treated as such
• AI models can produce inaccurate, incomplete, or misleading results
• AI predictions are based on historical data and statistical patterns that may not repeat
• You are solely responsible for any decisions made based on AI-generated content
• We make no warranties regarding the accuracy, reliability, or profitability of AI outputs
• AI features are provided on an "as-is" basis and may be modified or discontinued at any time

9. Intellectual Property & Licensing

9.1 Ownership

All content, algorithms, strategy engines, backtesting logic, forward return calculations, data models, code, designs, trade signals, AI-generated outputs, statistical analyses, and all other materials produced by or through the Service are the exclusive intellectual property of Aftermath Analytics.

This includes, without limitation:

• Backtest results, win rates, forward return statistics, and match data
• Charts, visualizations, pattern overlays, and analog comparisons
• AI-generated trade ideas, thesis analyses, and regime classifications
• Macro regime data, breadth metrics, sector rotation signals, and valuation outputs
• Any derivative insights produced by combining the above

9.2 Personal Use License (Basic, Pro, and Quant Plans)

All subscription plans (Basic, Pro, and Quant) grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service and its outputs for personal, non-commercial purposes only.

Under a Personal Use License, you MAY:

• Use the platform for your own personal trading research and education
• Save, screenshot, or export results for your own private reference
• Share occasional, incidental references to platform outputs in personal social media posts (e.g., "I ran a backtest and found X"), provided such sharing is not systematic, recurring, or the primary basis of commercial content
• Use the Trade Journal for your own personal trade tracking

Under a Personal Use License, you may NOT:

• Publish, distribute, broadcast, or syndicate backtest results, charts, statistics, signals, or any other Service output as part of a paid or monetized product or service — including but not limited to paid newsletters, Substacks, Patreons, premium Discord/Telegram channels, YouTube channels with monetization enabled, trading rooms, signal services, or subscription-based content of any kind
• Embed, display, or integrate Service outputs into any third-party application, website, bot, or platform — whether free or paid
• Use Service outputs as the primary or recurring basis for free commercial content designed to promote, market, or grow a business, brand, or audience (e.g., a "free" newsletter that uses our backtest data to attract subscribers to a paid tier)
• Systematically share, repost, or redistribute Service outputs across any channel on a regular basis
• Use the Service to generate data, analysis, or research for clients, employers, or third parties — whether as an employee, contractor, consultant, or advisor — unless you hold a Commercial API License
• Access the Service programmatically via scripts, bots, scrapers, or automated tools (API access requires a Commercial API License)
• Resell, sublicense, or white-label any Service output

9.3 Commercial API License

A Commercial API License is a separate, premium license tier that grants the right to use Service outputs for commercial and distribution purposes. This license is available at pricing separate from and in addition to standard subscription plans.

Under a Commercial API License, you MAY:

• Access the Service programmatically via authenticated API endpoints
• Publish, distribute, and monetize content that incorporates Service outputs (newsletters, videos, social media, signal services, etc.)
• Embed Service outputs in third-party applications, bots, dashboards, or platforms
• Use Service outputs for client-facing research, reports, and presentations
• Use Service outputs in commercial content creation (YouTube, podcasts, courses, etc.)

Commercial API License terms:

• Pricing is separate from standard subscription plans and is subject to change
• API access is subject to rate limits specific to the Commercial API tier
• All commercial use requires visible attribution: "Data by Aftermath Analytics" or "Powered by Aftermath Analytics" (or such other attribution as we may specify)
• The Commercial API License does not grant ownership of Service outputs — it grants a limited right to distribute them
• We reserve the right to revoke API access for abuse, misrepresentation, or violation of these Terms
• Commercial API License holders remain bound by all other sections of these Terms, including risk disclaimers, liability limitations, and indemnification

9.4 Early Adopter API Access

At our sole discretion, we may offer Commercial API License access at reduced pricing to qualifying early adopter Quant subscribers. Eligibility, pricing, and terms for early adopter API access are determined exclusively by Aftermath Analytics and may be modified or discontinued at any time.

9.5 Enforcement

• We actively monitor for unauthorized commercial use of Service outputs
• Violation of the Personal Use License by engaging in commercial distribution without a Commercial API License constitutes a material breach of these Terms
• Upon discovery of unauthorized commercial use, we may, at our sole discretion: issue a warning, suspend your account, terminate your account permanently, or pursue legal remedies including injunctive relief and damages
• If we determine that you have been using the Service commercially without proper licensing, we reserve the right to invoice you retroactively for Commercial API License fees covering the period of unauthorized use
• You agree that unauthorized commercial use causes irreparable harm to Aftermath Analytics and that we are entitled to seek injunctive relief without the requirement to post bond

9.6 General IP Restrictions

Regardless of license type, you may NOT:

• Reverse engineer, decompile, disassemble, or extract proprietary algorithms, strategy logic, or scoring models
• Claim ownership of our proprietary methods, engines, or analytical frameworks
• Patent, trademark, or copyright any concepts, methods, or outputs derived from the Service
• Use our data, analysis, or outputs to build a competing product or service
• Train machine learning models, AI systems, or large language models on Service outputs
• Systematically download, archive, or create databases from Service outputs

10. Termination

We reserve the right to suspend or terminate your account at any time for:

• Violation of these Terms
• Fraudulent activity, chargebacks, or payment disputes filed in bad faith
• Abusive behavior toward staff or other users
• Attempts to reverse-engineer, scrape, or abuse platform APIs
• Any reason at our sole discretion

Upon termination for cause, no refunds will be issued for any remaining subscription period.

11. Regulatory Compliance

11.1 Not a Registered Entity

Aftermath Analytics is NOT:

• Registered with the SEC, FINRA, CFTC, or any regulatory body
• A licensed investment advisor or broker-dealer
• Subject to regulatory oversight for investment advice

11.2 Your Obligations

You are responsible for:

• Complying with all applicable laws in your jurisdiction
• Reporting your own trading gains/losses for tax purposes
• Understanding regulations that apply to your trading activity

12. Indemnification

You agree to indemnify and hold harmless Aftermath Analytics, its officers, employees, and affiliates from any claims, damages, or expenses (including legal fees) arising from:

• Your use of the Service
• Your trading or investment decisions
• Your violation of these Terms
• Your violation of any laws or regulations

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the website. Continued use of the Service constitutes acceptance of modified Terms.

14. Governing Law & Dispute Resolution

14.1 Jurisdiction

These Terms are governed by the laws of the State of Louisiana, United States, without regard to conflict of law principles.

14.2 Arbitration

Any disputes shall be resolved through binding arbitration rather than in court, except for claims related to intellectual property, licensing violations, or unauthorized commercial use, for which Aftermath Analytics may seek injunctive relief or other equitable remedies in any court of competent jurisdiction.

14.3 Class Action Waiver

YOU WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS. All disputes must be brought individually.

15. Entire Agreement

These Terms constitute the entire agreement between you and Aftermath Analytics regarding the Service and supersede all prior agreements.
